Terms of Service

Last updated: 2026-09-18

Effective Date: September 18, 2026

Last Updated: September 18, 2026

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, application programming interfaces (APIs), dashboards, and payment services provided by Cashless Tanzania (“Cashless,” “we,” “us,” or “our”) — including Cashless Biller, Cashless Wallet, and the Cashless API (collectively, the “Services”).

The Services are operated by Mitikaz Company Limited on behalf of the Cashless brand. By accessing, registering for, or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. What Cashless does

Cashless is a payment technology platform that helps businesses in Tanzania accept and disburse payments across multiple channels — including mobile money, cards, and bank transfers. Specifically:

  • Cashless Biller — seller-initiated billing that lets a merchant request payment from a customer, who then approves the charge on their mobile money account.
  • Cashless Wallet — a stored-value account that lets users hold, send, and receive funds across supported channels.
  • Cashless API — programmatic access to the same payment capabilities for developers integrating Cashless into their own products.

Cashless is a technology provider. Underlying funds transfer and settlement are performed by regulated third parties — mobile network operators, card networks and acquirers, and banking partners. We do not hold customer funds in our own name outside of properly regulated arrangements with those partners.

2. Eligibility

To use the Services you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of a business, organisation, or other legal entity, you represent that you are authorised to bind that entity to these Terms and that its formation and activities comply with applicable law in the jurisdictions where it operates.

3. Accounts, verification, and KYC

Some Services require you to create an account and to complete identity verification (“KYC”). You agree to:

  • Provide accurate, current, and complete information at registration and during any subsequent verification
  • Promptly update your account information when it changes
  • Keep your login credentials, API keys, and secrets confidential and secure
  • Notify us immediately of any unauthorised use, suspected compromise, or loss of credentials
  • Accept responsibility for all activity that occurs under your account or API keys

We may require additional information or documentation to comply with anti-money-laundering (AML), counter-terrorism-financing (CFT), sanctions, and tax obligations. We may suspend, limit, or terminate accounts that provide inaccurate information, fail verification, or breach these Terms.

4. Acceptable use and prohibited activities

You agree not to use the Services to:

  • Violate any applicable law, regulation, or the rules of any payment scheme, mobile network operator, or banking partner
  • Engage in fraud, money laundering, terrorism financing, tax evasion, or the funding of sanctioned parties
  • Accept payments for goods or services that are illegal in Tanzania, or for high-risk categories we prohibit — including but not limited to: unlicensed gambling, unlicensed financial services, adult content, weapons, controlled substances, counterfeit goods, and pyramid or Ponzi schemes
  • Attempt to gain unauthorised access to any Cashless system, another user’s account, or any connected network
  • Transmit malware, viruses, or harmful code, or interfere with the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services other than as permitted by law
  • Use automated means (bots, scrapers, load generators) against the Services outside of our published API and stated rate limits
  • Resell, sublicense, or otherwise commercialise the Services without our prior written consent

We may investigate suspected breaches, cooperate with law-enforcement or regulators, and share account information with payment partners as required. Serious or repeated breaches may result in immediate suspension and forfeiture of funds pending investigation, in accordance with applicable law.

5. Fees and settlement

  • Fees for the Services are stated in your pricing agreement or in the fee schedule published in your dashboard. All fees are exclusive of taxes unless otherwise stated; you are responsible for any applicable VAT, withholding, or excise.
  • Settlement timing, currency, and payout destination depend on the payment channel and your agreement with the relevant mobile money operator or bank. Cashless does not guarantee same-day settlement unless a specific service level says so in writing.
  • Mobile money and bank fees charged by third parties (MNO tariffs, interbank charges) are your responsibility and are separate from Cashless fees.
  • We may deduct fees, refunds, chargebacks, reversals, taxes, and amounts you owe us from incoming settlements before payout. Where those amounts exceed incoming settlements, you agree to pay the balance on demand.
  • We may modify fees on reasonable advance notice, given by email, in-dashboard notice, or an update to the published schedule.

6. Refunds, chargebacks, and disputes

  • Refunds to a customer are processed through the same channel as the original payment where possible. You are responsible for the refunded amount and any associated fees.
  • Card chargebacks and mobile money disputes are governed by the rules of the relevant scheme or operator. You agree to cooperate promptly with dispute investigations and to provide requested evidence.
  • We may hold funds, place a rolling reserve, or delay settlement if we have a reasonable basis to expect chargebacks, fraud, or a dispute — including where a scheme, operator, or regulator has raised a concern.
  • Disputes between you and your customer relating to the underlying goods or services are between you and the customer. Cashless is not a party to that dispute and does not adjudicate merits.

7. Compliance obligations

You are responsible for complying with all laws that apply to your use of the Services, including:

  • The Anti-Money Laundering Act, its regulations, and any successor legislation in Tanzania
  • Sanctions and export-control rules that apply to you and your counterparties
  • Consumer-protection laws, including truthful pricing, disclosures, and returns policies
  • Data-protection laws — see §10 below
  • Tax laws applicable to your business and to payments you receive

Where cards are used, you must comply with applicable Payment Card Industry Data Security Standard (PCI DSS) requirements and must not store, log, or transmit full card numbers or CVVs on your own systems. Cashless provides PCI-compliant integration paths (hosted fields, tokenised sessions) so that raw card data does not reach your infrastructure.

8. Intellectual property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks associated with the Services are owned by Mitikaz Company Limited or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose.

You may not copy, modify, distribute, sell, or lease any part of our Services or software without our prior written consent. The Cashless name, logo, and brand marks may only be used with our permission and in accordance with any brand guidelines we publish.

9. Your data and content

You retain ownership of the transaction data, customer records, and content you submit through the Services (“Your Data”). By submitting Your Data you grant Cashless a non-exclusive, worldwide, royalty-free licence to use, process, transmit, and store it as needed to provide the Services, meet legal and regulatory obligations, prevent fraud, and improve the Services in aggregate, de-identified form.

You represent that you have the right to submit Your Data and that its collection and provision to Cashless does not infringe any third-party right or applicable law.

10. Data protection and privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data. We handle personal data in accordance with the Tanzania Personal Data Protection Act, 2022 and any successor legislation. Where you provide us with personal data about your customers, you are responsible for having a lawful basis to do so and for meeting your own notice and consent obligations to those customers.

11. Third-party services and partners

The Services depend on third-party payment partners — including mobile network operators, card networks and acquirers, and banks. Those partners have their own terms and policies, which may apply to your transactions. Cashless is not responsible for the acts, omissions, availability, or policies of those partners.

Some Services may link to or integrate with third-party tools (for example, WhatsApp Business, accounting software, or delivery platforms). Your use of those tools is subject to their terms.

12. Service availability and changes

We aim for reliable, uninterrupted access to the Services, but we do not guarantee that the Services will be available at all times. We may:

  • Suspend or restrict access for scheduled maintenance, updates, or security reasons
  • Modify, deprecate, or discontinue any feature at any time, with reasonable notice for material changes where practicable
  • Introduce new features or new services governed by these Terms or by separate written agreement

13. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY DEFECT WILL BE CORRECTED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASHLESS, MITIKAZ COMPANY LIMITED, AND THEIR RESPECTIVE DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the greater of (a) the amount of Cashless fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) the amount required by applicable law where a lower cap is not permitted.

Nothing in these Terms excludes liability that cannot be excluded by law — including for fraud or wilful misconduct.

15. Indemnification

You agree to indemnify, defend, and hold harmless Cashless, Mitikaz Company Limited, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or third-party right; (d) any transaction you facilitate through the Services, including disputes with your customers; or (e) any misuse of your account or API keys resulting from your failure to secure them.

16. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that: your use breaches these Terms; your activity presents fraud, security, sanctions, or regulatory risk; a payment partner has required us to do so; or continued provision of the Services would place Cashless in breach of applicable law.

You may terminate your account at any time by contacting us at the address in §19 and by settling any outstanding balances. Upon termination:

  • Your right to use the Services ceases immediately
  • We may retain records required by law, regulation, or a payment partner’s rules, for as long as those requirements demand
  • Provisions that by their nature should survive termination — including intellectual property, fees due, limitation of liability, and indemnification — remain in effect

17. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any dispute arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to the competent courts of Tanzania.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page and notify users of material changes through the Services or by another reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
